These Terms of Service (“Terms”) set out the legally binding terms governing your use of the Website. These terms apply to all registered users of the Website who have paid due consideration for the use of the Website and its services, and have entered into a registered user agreement with the Operator (“Registered Users”) and all those persons who gain access to the Website and includes all Registered Users (“Viewers”).

Introduction

We may from time to time offer a functionality which provides our users an interface that integrates third-party stock broking services (“Functionality”) onto our Website to enable Users to conduct trades in securities listed on Indian stock exchanges utilizing third party stockbrokers registered with the Securities and Exchange Board of India (“SEBI”). It is hereby clarified for the sake of abundant caution, that other than for the provision of aggregation of the aforesaid Functionality and consequent provision of an interface which provides access to various third party powered stock broking functionalities, We are not responsible in any manner for trades placed via such third party stock brokers. Users are responsible and shall bear sole liability for all transactions placed via such third-party stock-brokers, either directly or via the Website as an interface and we do not endorse, underwrite or in any manner intermediate between, or act as an agent for or behalf of the User or the stock broker

We are a SEBI registered Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013, bearing registration number INA100008443.

The Operator provides research based recommendations on various investment opportunities in equities for the long-term through this Website.

Disciplinary History

The Operator and its directors have no outstanding litigations against them and they have not been suspended or debarred from doing business by SEBI or any other authority, nor has the Operator’s certificate of registration been cancelled by SEBI at any point of time.

Affiliations and compensation

We have not affiliated with any intermediaries for execution or distribution services. Hence, we do not receive any consideration for execution or distribution services.

Fee, Billing and Refunds

When subscribing to the paid Services provided by Operator, you will need to provide us with your personal information, such as your name, address, e-mail address. The use of such data collected by Operator is governed by the Stock Advisor Privacy Policy.

You agree that the payment of fees shall be made through a mode that shows traceability of funds and as prescribed by SEBI. Such modes include account payee crossed cheques, demand drafts or by way of direct credit to the bank accounts through NEFT/RTGS/IMPS/UPI or any other mode specified by SEBI from time to time. However, fees for the Services shall not be accepted in cash.

By subscribing to the Services offered on the Website you agree to pay the applicable subscription fee for the Services as set out on the Website. Goods and services tax (GST) or other applicable tax may be charged in addition to the subscription fee. Accordingly, you agree that your membership fee or subscription will be billed automatically at the beginning of each renewal period at the then-current rate (plus GST, if applicable) via the UPI ID or through the bank account used in your most recent transaction with us. We request you to enable automatic renewal. Before the start of each renewal, you will be sent a reminder notice stating the current rate. If you do nothing, you will automatically be charged for the membership at the renewal rate then.

The Operator will charge fees for which the payment will be taken in advance as per the plan chosen. The Operator may revise the fee charged at its sole discretion by intimating the User in writing (by way of email or updated terms). The fee will be accepted digitally through a third-party payment gateway. A GST invoice will be issued evidencing receipt of payment of fee. The billing will be as per the plan chosen by the User.

You certify that all information you provide is accurate. You also agree to maintain and update your information as necessary so that it remains accurate and current. In the event that any information you provide is inaccurate or not up to date, the Operator reserves the right to cancel your subscription to the Services. Refunds, if any will be processed as per Refund Policy.

Disclaimer and Exclusion of Liability

The information contained and provided on this Website is not bespoke for any specific Registered User/Viewer and it is not the intention of the Operator of the Website to provide any professional advice, solicitation or offer to sell, recommend or purchase securities and/or funds. The Registered Users and Viewers understand and agree that in case the Registered Users and Viewers chose to gain access to the Website, they shall be deemed to have read and understood the then current and applicable Terms for all purposes thereof, irrespective of whether they have actually read and understood the Terms or not.

Jurisdiction and Applicable Laws

The Registered Users and Viewers understand and agree that the courts of New Delhi, India shall have the exclusive jurisdiction to resolve any controversy or claim of whatever nature arising out of or relating to use of the Website or the information, statements, opinions, products, services and materials contained, provided, posted or expressed in the Website and the laws of India shall govern such dispute or claim. However, the Operator retains the right to bring legal proceedings in any jurisdiction where they believe that infringement of the Terms is taking place or originating.

Waiver

The failure of the Operators to enforce any provision of these Terms of Use and Disclaimer shall not be deemed a waiver of such provision nor of the right to enforce such provision.

Entire Understanding

These Terms contain the entire understanding between the Registered Users and Viewers of the Website and the Operator with respect to this Website and supersedes all prior understandings (written or verbal), representations and negotiations and shall not be modified or affected by any course of dealing or course of performance. In case any term of the Terms is declared invalid or unenforceable for any reason whatsoever, by a court of competent jurisdiction, such term shall, insofar as it is severable from the remaining terms, be deemed omitted from the Terms and shall in no way affect the legality, validity or enforceability of the remaining terms.

All rights not expressly granted herein are reserved.

Most Important Terms and Conditions (MITC)

As mandated by SEBI Circular No. [SEBI/HO/MIRSD/MIRSD-PoD/P/CIR/2025/20], dated February 17, 2025, the following key terms and conditions form an integral part of this Agreement:

1. 1.These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of, the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.
2. 2.The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/ Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients).

   Note:

   1. 2.1. The current fee limit is Rs 1,51,000/- per annum per family of client for all research services of the RA.
   2. 2.2. The fee limit does not include statutory charges.
   3. 2.3. The fee limits do not apply to a non-individual client / accredited investor.
3. 3.RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is maximum one year. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.
4. 4.Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).
5. 5.The RA is required to abide by the applicable regulations/ circulars/ directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavor to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.
6. 6.Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.
7. 7.The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA’s research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of research report.
8. 8.Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client’s own judgement and assessment of the conclusions contained in the research report.
9. 9.The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.

11. 11.Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.
12. 12.The RA shall never ask for the client’s login credentials and OTPs for the client’s Trading Account Demat Account and Bank Account. Never share such information with anyone including RA.
